The agreement between Keeplee and the company that uses Nayaship, in plain words.

1. This agreement

These terms are an agreement between Keeplee Infotech Pvt. Ltd. (“Keeplee”, “we”), City Center, Sector-IV, Bokaro Steel City, Jharkhand 827013, India, and the company that orders or uses Nayaship (“you”). By ordering or using Nayaship you accept them. The person who accepts them confirms they may do so for the company.

2. The service

Nayaship is software for freight forwarders, NVOCCs and customs brokers, used in a web browser: quotations, bookings, bills of lading, jobs and their documents, containers, invoices, accounts, GST and TDS returns. We keep improving it. If we plan to remove something you rely on, we tell you in advance.

3. Plans, trial and payment

  • Plans are priced by users and shown on our pricing page in rupees, plus GST.
  • Every plan starts with the free trial shown on its card. Ordering online charges nothing.
  • After you order, we call you within one business day to confirm and set up your workspace.
  • After the trial you pay for each period against a GST invoice, by UPI, bank transfer or online through Razorpay.
  • Nothing is charged automatically. Your next period is raised as an invoice from Settings › Plan & billing in Nayaship, and starts once it is paid.
  • We may change prices for future periods. We tell you before your next renewal, and a period you have already paid for keeps its price.
  • Refunds follow our refund policy.

4. If a renewal is not paid

If the next period is not paid by the end of the current one, your plan ends and your workspace may become read-only or be suspended until it is paid. We do not delete your records just because a payment is late.

5. Users and sign-in

  • Your plan includes a number of users; more can be added. Each user signs in with their own username and password and keeps the password secret.
  • A user can be signed in on one device at a time.
  • Your account’s owner (the super user) decides who has which rights. You are responsible for what your users do in Nayaship.

6. Your data

The records you enter belong to your company. You let us store and process them only to run Nayaship for you, as our privacy policy explains. While you use Nayaship you can take your data out: documents print as PDF, manifests and TDS returns download as Excel, the GST return as the portal’s JSON file and your accounts as Tally files. For a full copy of your records, write to us; if you decide to stop, ask before your last period ends.

7. Fair use

Do not use Nayaship for anything unlawful, try to get into another company’s data, test or break its security, overload it on purpose, copy or resell it, or try to rebuild its code.

8. Documents and filings

Nayaship prepares documents and returns (bills of lading, invoices, manifests, GST and TDS returns, customs checklists) from what your team enters. Check them before you issue or file them: you and your accountant or customs broker stay responsible for what is filed with the authorities.

9. Availability and support

We work to keep Nayaship available and to fix problems quickly, and we announce planned maintenance where we can. Write to info@keeplee.com or use Get help.

10. Limits of liability

As far as the law allows, we are not liable for indirect losses such as lost profit or business, and our total liability for any claim is limited to the fees you paid us in the 12 months before it.

11. Ending the service

You can stop at any time by not paying the next period. We may suspend or end the service if these terms are seriously broken, after telling you why where we can.

12. Ownership

Nayaship’s software, design and name belong to Keeplee. Your records belong to you.

13. Changes to these terms

When we change these terms we update this page and the date at the top, and tell your account’s owner by email about important changes before they apply.

14. Law and courts

These terms are governed by the laws of India. The courts at Bokaro, Jharkhand have jurisdiction over any dispute.
